be closed and you may forfeit your earnings!
We will close down the accounts of those who are spammers or who break
the
rules. Please read every word of this agreement so you are aware of the
rules!
FootLog.com
AFFILIATE AGREEMENT
In
this agreement, you will find our
terms and conditions. To
participate in
the FootLog.com Affiliate Program, you must agree to our terms and
conditions. Please
read this agreement carefully. The
term 'Affiliate' in this agreement, refers to you (the applicant).
FootLog.com, in
this agreement, refers to the product owner, FootLog.com.
In
this agreement, you will find our
terms and conditions. To participate in the Affiliate Program
FootLog.com, you
agree to our terms and conditions. Please read this agreement
carefully. The
term 'affiliate' of this agreement, refers to you (the applicant).
FootLog.com
in this agreement refers to the product owner, FootLog.com.
To
join the affiliate program, if you
have not already done so, all participants must register on the website
FootLog.com.
An
affiliate account can be created
by filling out and submitting the Footlog.com affiliate sign up form at
http://www.footlog.com/affiliate/affsignup.php.
On that page, each new affiliate will be asked to fill in the form.
This
information will be used to track each affiliate.
Please fill in the form completely.
All affiliates will be manually approved. If you are in the US and do not have
an EIN,
you will not be able to participate in this program. You must have a
legally
registered business.
Affiliates
can receive up to 25% of
the revenue as a commission from orders placed through properly coded
Affiliate
links, less the charges outlined in the online affiliate panel. For a
sale to
generate a commission to an Affiliate, the customer must complete the
order
form and remit full payment for the product ordered through an
affiliate banner
or link. Word of mouth referrals will not result in an affiliate
commission
being generated. Commissions will only be paid on sales that are made
when the
customer clicks through qualified, correctly structured Affiliate
links.
Properly coded links are the sole responsibility of the affiliate.
For
a sale to generate a commission to
an affiliate, the customer must complete the form and pay the full
amount of product
ordered through an affiliate banner or link. Commissions are paid only
on sales
made ??when the customer clicks through properly structured and
qualified affiliate links. Correctly coding links are the sole
responsibility
of the affiliate.
Payment
FootLog.com
will send a check or
credit your Paypal
account for the applicable
commissions within the framework of our payment policies.
If
the order generating an affiliate
commission is canceled by the customer, or if the customer returns the
checks, the
amount will be deducted by Footlog.com from the next payment due to
affiliates.
Order
Fulfillment
FootLog.com
will be solely
responsible for processing every product order placed by a customer on
the
Affiliate Site. Affiliates are not allowed to collect payments or sell
any FootLog.com
products from any other website as a "distributor" (unless authorized
- see http://www.footlog.com/resellers.php. Affiliates are not allowed to sell
any of these
products on eBay or other auction sites. FootLog.com will also be
solely
responsible for all customer inquiries.
Customers
Customers
to buy products through the
Affiliate Program are customers of Footlog.com. Accordingly, all rules,
policies and operational procedures in customer orders and service will
apply to
customers. We may change our policies and operating procedures at any
time. Prices
and product availability may vary over time. FootLog.com always
determines the
price paid by the customer.
Qualifying
Sites
Footlog.com
reserves the right to
refuse any site entry into the Affiliate Program based on site content.
These
rules are strictly adhered to. Sites that do not qualify for the
Affiliate
Program include sites which:
Promote
sexually explicit material
promote violence
Promote discrimination based on race, sex, religion, nationality,
disability, sexual
orientation or age
Promote illegal activities
Infringe or violate the copyright, trademark or other intellectual
property
rights.
ANTI-SPAM
POLICY
FootLog.com
strictly prohibits its
members from engaging in any practice of marketing that may be
construed as
spam such as email or any other form of Internet abuse (including forum
spam
and blog spam) used to seek sales. Spam is defined as including but not
limited
to, the following:

Emails
sent to a individuals or
groups with whom the sender has no existing business or personal
relationship
or where there is no express consent of the recipients through some
type of
opt-in subscription; Any posts to Usenet, forums and bulletin boards
that are
off-topic or unrelated to the current topic being discussed,
cross-posted to
unrelated newsgroups, excessive posting, or posts that break the rules
of the
Forum. Always be familiar with any rules of forums you intend to post
to! If we
receive complaints from forum owners or moderators about an affiliate
that
affiliate's account may be permanently deleted after investigation.

The
content posted on the website
blog for the sole purpose of keyword spamming, or comments posted to
legitimate
blogs that violate the owner's comment policy are also reasons that may
get the
affiliate's account closed.
*
Requests
sent to chat rooms, or for
groups or individuals via Internet Relay Chat or "Instant Messaging"
system (such as ICQ).
*
When
performing certain off-line
activities such as, distributing flyers or leaflets on private property
or
where prohibited by applicable rules, regulations or laws.
Footlog.com
can at its sole
discretion and with or without notice, the following:

Account
Termination: Upon receipt of
a credible complaint, to the FootLog.com affiliate administrator after
investigating the complaint may, if necessary, then terminate the
affiliate
account of the person involved in the abuse, resulting in the loss of
all
references, and forfeiture of money owed on the account.
If
you wish to report a violation of
our anti-spam policy, please send all relevant evidence to affiliate
administrator.

Relationships
As
an affiliate, you are considered
an independent contractor. This
agreement in no way creates any partnership, joint venture, agency,
franchise,
sales representative, or employment relationship between you, the
affiliate and
Footlog.com. You, as the affiliate, have no authority to make or accept
any offers
or representations on our behalf. Affiliates will not make any
statement,
whether on their sites or otherwise, that contradicts this assertion.
Term
and Termination
The
term of this agreement will
begin when we accept you as a subsidiary, and will end when terminated
by
either party. FootLog.com or
affiliates may
terminate this Agreement, with or without cause, by giving written
notice of termination. Once
the termination of this Agreement has
taken effect, for any reason, all licenses granted hereunder shall
immediately terminate
and you will immediately stop using, and remove from the Affiliate's
web site, all
FootLog.com links, trademarks and logos, or any other related materials
provided
with the program.
Limitation
of Liability
FootLog.com
will not be held responsible
for indirect, special, or consequential damages (or any loss of
revenue, profits,
expenditures or data) arising in connection with this agreement or
affiliate program,
even if we are warned about the possibility of such damages. Further,
our aggregate
liability arising regarding this agreement and program will not exceed
the total
commissions paid or payable under the agreement partners.

makes no express or
implied warranties or representations with respect to the Affiliate
Program or
an affiliate's ability or potential to earn income from the Affiliate
Program. We
also make no representation that the Footlog.com website operation or
Affiliate
links will be uninterrupted or error-free. FootLog.com will not be
liable for any
consequences of any interruptions or errors.
Assignment
This
Agreement may not be assigned
by operation of law or otherwise, without our prior written consent.
Subject to
that restriction, this Agreement will be binding on, inure to the
benefit of,
and enforceable against the parties and their respective successors and
assigns.
Miscellaneous
Our
failure to enforce your strict performance of any provision of this
Agreement
shall not constitute a waiver of our right to subsequently enforce such
provision or any other provision of this Agreement.
If any provision of this Agreement is deemed by a court to be
unenforceable, that
are separate from this Agreement and the remaining provisions shall
remain in
full force and effect.
By
signing up with Footlog.com, you
acknowledge that you have read this agreement in its entirety and agree
to all
its terms and conditions. You have independently evaluated this program
and are
not relying on any representation, guarantee or statement other than as
set
forth in this agreement.

representations as to the income earnings of affiliates from this
website. Your earning
potential is entirely based upon
many factors, including your efforts. Footlog.com
cannot guarantee any earnings.
You
agree that FootLog.com is not
responsible for the success or failure of your business decisions
relating to
any information presented by our company, or our company products or
services.
